Trade-In Rebate Guidelines

You can earn rebates for your customer’s by following these simple steps:

1. Notify your customers and prospects about Proxim’s offer – a great opportunity to upgrade existing Point to Point networks.

2. Make the sale.

3. To submit rebate claim, go to http://www.proxim.com/tech_migration_form and fill out the online claim form. The value of rebate will be found in the Trade-up Matrix below.

4. VAR must take possession of the trade-in product, and dispose of it. Important note: Destruction and disposition of trade-in product must be in accordance with all applicable national & local laws.

5. VAR downloads, completes and signs the “Certificate of Destruction” form found at http://www.proxim.com/tech_migration_form, certifying that the trade-in has been disposed of in accordance with these guidelines.

6. Fax signed “Certificate of Destruction” to Proxim at 1.408.548.3804 or scan the signed copy and email to tmp@proxim.com.

7. Claim is audited and rebate check is mailed to the contact address provided on the rebate claim form.

Terms and Conditions:

Pricing Policy

• Special demonstration discounts of 50% off MSRP for Proxim Wireless product will be offered to the reseller. See Proxim price list for exact pricing and which products qualify.

• Reseller is allowed one (1) unit of each product and three (3) units per mesh product every six months. The distributor is required to enforce this policy.

• Proxim Distributor price for demo orders is 53% off MSRP.

• Product bought through the VAR Demo program can not be re-sold.

Ordering Procedure

1. Proxim Authorized Reseller requests/orders demo equipment from distributor.

2. Distributor will invoice VAR at 50% MSRP (plus duty, freight & taxes if applicable).

3. Distributor provides a point of sale (POS) report showing proof of demo equipment sale. Report should include reseller name, location, zip code, comcode, description of product sold and number of demo units sold.

4. Distributor sends claim to Proxim. See current Proxim Price Book for qualified demo products and distributor price.

5. Proxim issues credit memo to Distributor.

6. For questions on the status of discount claims, the VAR should contact their Proxim Wireless Sales representative.

Program Overview

Proxim provides a 5% Government, Education and Medical (GEM) discount to qualifying institutions. Proxim Authorized Resellers must provide the appropriate documentation to qualify for the discount.

Qualifying institutions include but are not limited to:

• Federal agencies
• Military, State and Provincial governments
• Municipal governments
• State or provincial funded colleges and universities
• Accredited private colleges and universities
• Accredited primary educational institutions, public or private
• Hospitals, medical centers and doctors offices
• Medical research offices and labs

Terms and Conditions

1. 5% GEM discount is off List (MSRP) and is applied at the point of purchase through an authorized Proxim Wireless distributor.

2. GEM discount is available to Government, Educational and Medical customers only.

3. Proof of purchase by a qualified institution is required which should be in the form of POS and must include customer name, address, state, country, postal code, and email address. The distributor is required to submit GEM POS data on a monthly basis.

4. Please allow up to 4 weeks for rebate processing.
